Terms & Conditions

These terms cover your use of this website and, unless a signed proposal or agreement says otherwise, the design and development services ONYX provides. If a signed agreement and these terms conflict, the signed agreement wins.

1. Using this website

You may browse and share this website for personal and business purposes. Please do not misuse it: no attempts to break, overload or gain unauthorised access to it, and no automated scraping of its content.

The design, code, text and graphics of this website belong to ONYX unless stated otherwise. Do not copy or reuse them without written permission.

Information on this site is general. It is not an offer or a binding quote. Every project is confirmed by a written proposal.

2. Quotes and payment

  • Each project starts with a written proposal setting out scope, timeline and price. Quotes are valid for 30 days.
  • An advance of 50% is due before work begins. The balance is due as set out in the proposal, and before final files are handed over or the site goes live.
  • Invoices are payable within 7 days. We may pause work while an invoice is overdue.
  • Prices exclude applicable taxes such as GST, which are added where required.
  • Third-party costs (domains, hosting, paid fonts, plugins, stock images and similar) are paid by you or billed at cost, and belong to you.

3. Revisions and changes

Each design phase includes 2 rounds of revisions. Extra rounds, or work outside the agreed scope, are quoted separately and need your approval before we do them.

4. Your responsibilities

  • Provide content, feedback and approvals on time. Delays on your side may move the timeline.
  • Make sure you have the rights to everything you give us (text, images, logos, data). You are responsible for that material.

5. Ownership

When you have paid in full, you own the final deliverables created for you. We keep ownership of our pre-existing tools, code libraries and methods, and of concepts you did not choose; you receive a non-exclusive, perpetual, worldwide, royalty-free licence to use, modify and maintain any of these that are built into your deliverables. Third-party items (fonts, libraries, stock media) remain under their own licences.

We may show the finished work in our portfolio unless we agree otherwise in writing, for example under a non-disclosure agreement.

6. No guaranteed results

We do our best work on every project, but search rankings, traffic, sales and other results depend on factors outside our control, such as search engine algorithms and your market. We do not guarantee specific results unless they are written into a signed agreement.

7. Support after launch

We fix bugs in the work we delivered for 30 days after launch, free of charge. New features, content changes and issues caused by third-party updates or changes made by others are not covered, but can be arranged under a care plan.

8. Confidentiality

We keep your non-public business information confidential and use it only to deliver your project.

9. Liability

Our total liability for any claim relating to a project is limited to the fees you paid for that project. We are not liable for indirect losses such as lost profits or lost data. Nothing in these terms limits liability that cannot be limited under Indian law, or affects any rights you have as a consumer under the Consumer Protection Act, 2019.

10. Ending a project

You may cancel a project at any time by written notice. Either side may also end a project by written notice if the other seriously breaches these terms and does not fix the breach within 14 days. What happens to payments is explained in our Refund & Cancellation Policy.

11. Events outside our control

Neither side is responsible for delays caused by events beyond reasonable control, such as natural disasters, outages of third-party services or government action.

12. Governing law

These terms are governed by the laws of India. Disputes fall under the exclusive jurisdiction of the competent courts in India. We will always try to resolve a disagreement by talking first.

13. Changes

We may update these terms from time to time. The version on this page when you sign a proposal applies to that project.
